Please read these Terms carefully before using Sharpsel. By accessing or using the platform, you agree to be bound by these Terms and our Privacy Policy.
By creating a Sharpsel account or using any part of our platform, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Merchant", "you", or "your") and Sharpsel Technologies Limited ("Sharpsel", "we", "us", or "our"), a company incorporated under the laws of the Federal Republic of Nigeria.
If you do not agree to these Terms, do not use the platform. We reserve the right to update these Terms at any time with 14 days' notice.
Sharpsel is a commerce automation platform that allows Nigerian small and medium-sized businesses to:
• Manage product catalogues and inventory
• Automate sales conversations via WhatsApp Business API
• Accept and track customer orders
• Collect payments through integrated payment gateways
• View sales analytics and reports
The platform is provided on a subscription basis with plan tiers (Starter, Growth, Pro) as described on our pricing page.
To use Sharpsel you must:
• Be at least 18 years of age
• Be a registered business owner or authorised representative of a business
• Have a valid Nigerian bank account or payment method
• Possess a WhatsApp Business account in good standing with Meta Platforms, Inc.
• Not be prohibited from using our services under any applicable law
By using Sharpsel you represent and warrant that you meet all of the above eligibility requirements.
You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately at support@sharpsel.ng if you suspect unauthorised access to your account. Sharpsel is not liable for any loss resulting from your failure to keep your credentials secure.
You may not share your account with multiple businesses or transfer your account to another party without our written consent.
Plan Selection -Sharpsel offers monthly subscription plans. Current pricing is displayed on our pricing page and may be updated with 30 days' notice.
Billing Cycle -Subscriptions are billed monthly in advance in Nigerian Naira (NGN). Your subscription renews automatically on the same date each month unless cancelled.
Payment Methods -We accept payments via Paystack and Flutterwave. By subscribing you authorise us to charge your selected payment method at each billing cycle.
14-Day Free Trial -New accounts receive a 14-day free trial. No payment is required during the trial. At the end of your trial you must subscribe to a plan to continue using the platform.
Upgrades & Downgrades -You may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
Failed Payments -If a payment fails, your account will be suspended after 3 days. Your data will be retained for 60 days before deletion.
Subscription fees are non-refundable except in the following circumstances:
• Sharpsel experiences a platform-wide outage exceeding 72 consecutive hours in a billing month
• You are charged in error (duplicate charge, wrong amount)
Refund requests must be submitted within 14 days of the charge to support@sharpsel.ng. Approved refunds are processed within 5–10 business days to your original payment method.
The 14-day free trial is designed to allow you to evaluate the platform before committing to a subscription.
You agree to use Sharpsel only for lawful business purposes. You must not use the platform to:
• Sell counterfeit, stolen, or prohibited goods
• Spam or send unsolicited messages to consumers who have not opted in
• Conduct any activity that violates Nigerian law, including the Cybercrime (Prohibition, Prevention etc.) Act 2015
• Impersonate any person or business
• Scrape, reverse-engineer, or attempt to extract our source code
• Circumvent or attempt to bypass our security measures
• Transmit malware, viruses, or other harmful software
• Engage in money laundering, fraud, or any financial crime
Violations may result in immediate account suspension and may be reported to relevant Nigerian authorities.
Sharpsel operates on top of the WhatsApp Business Platform provided by Meta Platforms, Inc. By using our WhatsApp features you agree to comply with:
• Meta's WhatsApp Business Policy
• Meta's Commerce Policy
• WhatsApp's Messaging Guidelines
You are solely responsible for the content of messages sent through your WhatsApp bot. Sharpsel is not responsible for account bans or restrictions imposed by Meta due to your policy violations.
You retain ownership of all content and data you upload to Sharpsel, including product information, images, customer data, and order records ("Your Content").
By uploading Your Content, you grant Sharpsel a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely to operate the platform and provide the service.
You are responsible for ensuring that Your Content does not infringe the intellectual property rights of third parties and complies with all applicable laws.
You may export or request deletion of Your Content at any time. See our Privacy Policy for details on data retention.
The Sharpsel platform, including its design, code, trademarks, and all related content, is the exclusive property of Sharpsel Technologies Limited and is protected by Nigerian and international intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our prior written consent.
All third-party trademarks referenced on the platform (e.g., WhatsApp, Paystack) remain the property of their respective owners.
To the fullest extent permitted by Nigerian law, Sharpsel shall not be liable for:
• Indirect, incidental, or consequential damages arising from your use of the platform
• Loss of revenue, data, or business opportunities
• Actions or omissions of third-party services (WhatsApp, payment processors, cloud providers)
• Downtime caused by factors outside our reasonable control (force majeure, internet outages)
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the total subscription fees you paid to us in the 3 months preceding the claim.
We aim to maintain 99.5% platform uptime. Planned maintenance will be announced via email at least 24 hours in advance and is typically scheduled during low-traffic periods (1:00 AM – 5:00 AM WAT).
We do not guarantee that the platform will be available at all times and shall not be liable for brief interruptions caused by routine maintenance, third-party infrastructure issues, or circumstances beyond our control.
By You -You may cancel your subscription at any time from your billing settings. Your access continues until the end of the current billing period. No refunds are issued for unused time.
By Sharpsel -We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. We will make reasonable efforts to notify you by email before termination except in cases of serious violations.
Effect of Termination -Upon termination, your access to the platform ceases. Your data is retained for 60 days after which it is permanently deleted, unless a longer retention period is required by law.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be attempted to be resolved amicably through direct negotiation between the parties within 30 days.
If a resolution cannot be reached, disputes shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (as amended). The language of arbitration shall be English.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a Nigerian court of competent jurisdiction.
We may update these Terms from time to time. When we make material changes, we will notify you by email and display a prominent notice in the dashboard at least 14 days before the changes take effect.
Your continued use of Sharpsel after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree, you must cancel your subscription before the effective date.
